Arbitrage and Leverage
Private Placement trading safety is based on the fact that the transactions are performed as arbitrage transactions. This means that the instruments will be bought and resold immediately with pre-defined prices. A number of buyers and sellers are contracted, including exit-buyers comprising mostly of large financial institutions, insurance companies, or extremely wealthy individuals.

The client's principal does not have to be used for the transactions, as it is only reserved as a compensating balance ("mirrored") against this credit line. This credit line is then used to back up the arbitrage transactions. Since the trading is done as arbitrage, the money (“credit line”) doesn't have to be used, but it must still be available to back up each and every transaction.

Program Structure
Normally, a trading program is nothing more than a pre-arranged buy/sell arbitrage transaction of discounted banking instruments. Theoretically, a client with a large amount of funds (on the level of $100-500M USD) could arrange his own program by implementing the buy/sell transaction for himself; however, in this case he needs to control the entire process, initiating contact with the banks and the exit buyers at the same time. This is not a simple task, considering the restrictions in place.

For a client it is much simpler (and usually more profitable) to enter a program where the trader and his trading group have everything in place (the issuing banks, the exit buyers, the contracts ready for the arbitrage transaction, the line of credit with the trading banks, all of the necessary guarantees / safety for the client, etc.). The client needs only to agree with the contract proposed by the trader, disregarding any other underlying issues. It is further advantageous for the client to enter a program with a substantially lower amount of money and benefit from the line of credit offered by the trading group.

EPP security trustees have step in rights at any point if they believe there is an issue. EPP needs to provide quarterly financial reports to the security trustee and there is monthly monitoring of the company bank accounts and transactions approvals.
  • Off-take / Supply Agreements: Agreements with major wholesale distributors of biomass pellets as either Letters of Intent or Supply Agreements have been signed ensuring that as soon as the production line is installed the factory will have sufficient waste wood to meet its production targets and 100% of its production output is already pre-sold.
  • Closing Date: The Capital Raise is intended to close on or around 25th October 2020 to coincide with the delivery of the Pellet Mills (the last elements of the production line to be delivered. 
  • Production target date: Assuming the capital raise can be closed on time the factory will commence production in January 2021 with the first cashflows from sales in February 2021.
  • Potential for Early Exit: Interested Parties have approached Management to re-financing. If superior terms can be found which would enable an early repayment to investors.

Purchase price of the development is £24,000,000 which values each unit at £585,365

Current value of 4/5 bed detached properties ranges from £1m - £1.5m, we estimate the units to be sold circa £1.25m giving a GDV of (top end) £51.25m (bottom end) £41m.

Planning has been granted to extend all the units via loft conversion and or extensions/conservatories etc with a estimated cost of circa £4m.

Beware Using UTF8-BOM Encoding in PHP Code

Some months ago I wrote a PHP program to send out a mailshot from  a list of email addresses and names...

Somehow my source code on my PC became corrupted so I copied it all from my server using Windows Notepad.

This program would produce a PowerShell script from the data provided, then download it. When testing, the download just didn't work - message "Warning: cannot modify header information - headers already sent by..."! Try as I might, I just kept getting this error... This comes from using the PHP command header() after something has been sent for display! I went through my code line by line and just could not see where this was occurring. After much trawling I came across a suggestion on stackoverflow.com - UTF8-BOM encoding can cause blank lines to be displayed...

So, I looked at my code and yes, the encoding was UTF8-BOM (apparently Windows Notepad does this!). I converted the source using Notepad++ to just UTF8 and lo and behold, all worked as it should work!

A big "Thank You" to stackoverflow.com for the tips - useful in lots of cases I might add but you do have to sort through some of the BS posted by a small number of idiots...

Screen Chopped in Google Blogger?


I've had this blog (it's Google Blogger) for a number of years and have always been somewhat frustrated that sizeable chunks were being chopped from both sides of the screen. Even though I've tinkered with the template before (added my own ads etc), I'd always been worried about tinkering with widths etc as I'd tried in the past and ended up screwing the whole lot up!
A day or two ago a contact was complaining that my blog appeared small even on a PC screen so I thought I'd have another stab at it...
An internet search threw up something I thought might be useful but the suggestions there didn't bear any resemblance to my theme source code so I can only assume it was probably quite dated.
But away I decided I'd try again so this is what I did...
To edit a theme, click on Theme in the leftmost section:

 

then when the Customize button appears you'll see just above that, My Theme with perhaps Customize, just above that, three vertical dots - click the dots, select Edit HTML and you'll be presented with the editor!


Initially you should save the Theme you have in case something goes wrong so select all the code in the Edit window, copy it and then open up an Editor (eg Windows Notepad) and paste this code into the editor and save the file.
Search for this block of code:

Well, any problems then just paste in the code you saved! Mine worked just the way I wanted it to!
